Transactions Associate Attorney

Location: Silicon Valley, CA

 

Our client, a leading AmLaw 50 firm, is seeking a talented and driven Corporate Associate Attorney to join their Transactions Practice Group in their Silicon Valley office. This is a unique opportunity to work at the intersection of innovation and deal-making, supporting early-stage startups, established companies, private equity funds, and venture capital investors across a wide range of corporate and transactional matters.

 

Candidate Profile

  • JD from an ABA-approved law school with a strong academic record.

  • Active Bar Admission in California, in good standing.

  • 2–5 years of substantive experience handling emerging companies & venture capital (ECVC) financings, mergers and acquisitions (M&A), joint ventures, dispositions, commercial transactions, and general corporate matters.

  • Hands-on experience advising clients on corporate governance and general corporate matters for both private and public companies.

  • Sophisticated drafting, negotiation, and project management skills.

  • A client-centric approach with a positive attitude, strong interpersonal skills, and the ability to collaborate effectively with teams and clients.

  • Demonstrated ability to take initiative and assume responsibility in a fast-paced, entrepreneurial environment.

 

Key Responsibilities

  • Represent ECVC clients in financing deals, M&A transactionsjoint venturesdispositions, private equity deals, and other commercial transactions.
  • Support clients throughout the deal life cycle and afterward to ensure seamless execution.
  • Draft and negotiate transaction documents, working directly with clients to support their individual needs.
  • Provide general corporate counseling to publicly and privately held companies, private equity funds, entrepreneurs, and investors.
  • Collaborate within a dynamic and growing team and across practice groups to support the firm’s strategic objectives while maintaining a high standard of client service.

Compensation & Benefits

Competitive compensation: Includes an annual salary range of $240,000–$350,000, as determined by experience and market factors, and the opportunity to earn a discretionary bonus.
