Transactions Associate Attorney

Location: Silicon Valley, CA

Our client, a leading AmLaw 50 firm, is seeking a talented and driven Corporate Associate Attorney to join their Transactions Practice Group in their Silicon Valley office. This is a unique opportunity to work at the intersection of innovation and deal-making, supporting early-stage startups, established companies, private equity funds, and venture capital investors across a wide range of corporate and transactional matters.

Candidate Profile

JD from an ABA-approved law school with a strong academic record.
Active Bar Admission in California, in good standing.
2–5 years of substantive experience handling emerging companies & venture capital (ECVC) financings, mergers and acquisitions (M&A), joint ventures, dispositions, commercial transactions, and general corporate matters.
Hands-on experience advising clients on corporate governance and general corporate matters for both private and public companies.
Sophisticated drafting, negotiation, and project management skills.
A client-centric approach with a positive attitude, strong interpersonal skills, and the ability to collaborate effectively with teams and clients.
Demonstrated ability to take initiative and assume responsibility in a fast-paced, entrepreneurial environment.

Key Responsibilities

Represent ECVC clients in financing deals, M&A transactions, joint ventures, dispositions, private equity deals, and other commercial transactions.
Support clients throughout the deal life cycle and afterward to ensure seamless execution.
Draft and negotiate transaction documents, working directly with clients to support their individual needs.
Provide general corporate counseling to publicly and privately held companies, private equity funds, entrepreneurs, and investors.
Collaborate within a dynamic and growing team and across practice groups to support the firm’s strategic objectives while maintaining a high standard of client service.

Compensation & Benefits

Competitive compensation: Includes an annual salary range of $240,000–$350,000, as determined by experience and market factors, and the opportunity to earn a discretionary bonus.
