A leading AmLaw 50 firm is seeking a talented Associate Attorney to join its leading Technology Transactions Practice Group. This is an exciting opportunity to work on high-impact intellectual property and commercial transactions for cutting-edge technology clients at all stages of growth—from early-stage startups to global industry leaders.

 

 

Candidate Profile

  • JD from a top-tier law school with an excellent academic record.
  • Active Bar Admission in the relevant jurisdiction, in good standing.
  • 3–6 years of substantive experience with intellectual property (IP) and commercial transactions in a law firm setting.
  • Experience structuring, drafting, and negotiating complex IP and technology-related agreements, including licensing, development, services, distribution, and strategic partnerships.
  • Strong familiarity with the IP aspects of mergers and acquisitions (M&A), financings, and public offerings.
  • Demonstrated interest in a long-term career focused on intellectual property transactions.
  • Technical or scientific background is a plus, but not required.
  • Strong business acumen, attention to detail, and ability to manage multiple deal streams in a fast-paced environment.
  • Soft Skills: Excellent verbal, written, and interpersonal communication skills are essential.

 

 

Key Responsibilities

  • Draft, review, and negotiate a wide range of technology and IP agreements, including licensing, cloud and SaaS services, research collaborations, distribution, manufacturing, and partnership deals.
  • Provide IP diligence and strategic counseling in connection with M&A, venture financings, and IPOs.
  • Collaborate with internal corporate, litigation, and regulatory teams to address IP-related risks and strategy.
  • Advise clients on structuring commercial transactions that align with evolving business models and technology trends.
  • Work directly with clients to understand their business objectives and craft tailored legal solutions.
  • Contribute to team development, knowledge sharing, and client growth initiatives.

Compensation & Benefits

  • Competitive Salary: $260,000 – $390,000, commensurate with experience and class year.

  • Discretionary merit bonus eligibility.
