A top-10 AmLaw firm is seeking a talented mid-level Associate Attorney to join its Private Equity Practice Group in Austin. This is an excellent opportunity to work with a distinguished team advising leading private equity sponsors and their portfolio companies on complex corporate transactions. Candidate Profile
JD from a top-tier law school with an excellent academic record.
Active Bar Admission in Texas, in good standing.
3–5 years of substantive private equity experience.
Transaction Experience: Significant experience representing private equity sponsors and their portfolio companies in complex corporate transactions, including leveraged buyouts, mergers and acquisitions, recapitalizations, growth equity investments, and related matters.
AmLaw or SEC Background: Prior experience at a large law firm or regulatory agency (SEC) strongly preferred.
Client Engagement: Adept at managing client relationships, anticipating client needs, and providing strategic, solution-oriented legal counsel.
Demonstrated ability to draft and negotiate sophisticated deal documents and provide insightful guidance on legal risks and structuring.
Soft Skills: Excellent analytical and writing skills, strong business acumen, attention to detail, and the ability to work independently as well as collaboratively.
Key Responsibilities
Lead and Support Private Equity Transactions: Provide legal counsel on all stages of buy-side and sell-side private equity deals, including structuring, negotiation, due diligence, and execution.
Corporate Governance: Advise portfolio companies on day-to-day corporate matters and corporate governance issues.
Document Drafting & Review: Draft, negotiate, and review key transaction documents such as stock and asset purchase agreements, investment agreements, merger agreements, and ancillary documents.
Client Interaction: Maintain regular communication with clients and play a key role in managing deal timelines and expectations.
Cross-Practice Collaboration: Work closely with attorneys across practices including tax, employment, and finance to provide comprehensive legal support.
