JUNIOR CORPORATE / SECURITIES ASSOCIATE ATTORNEY

Investment Funds Group - Public REIT Capital Markets

A top-10 AmLaw firm is seeking a driven Junior Corporate/Securities Associate Attorney to join its Investment Funds Group, focusing on public Real Estate Investment Trusts (REIT) capital markets. This role offers exceptional early-career experience for a junior associate looking to develop their expertise in securities and capital markets law within a high-profile, sophisticated practice. The position is based in Raleigh and offers a flexible hybrid work schedule.

 

Candidate Profile

  • JD from a top-tier law school with an excellent academic record.

  • Active Bar Admission in North Carolina, in good standing, or the ability to obtain admission by start of employment.

  • 1–2 years of substantive experience at a large law firm in a corporate or securities practice.

  • Experience with capital markets, equity offerings, or advising public companies on securities law and corporate governance matters.

  • Familiarity or direct experience with REITs or real estate capital markets is strongly preferred.

  • Proactive, collaborative, and eager to learn in a fast-paced environment.

  • Soft Skills: Excellent analytical, writing, and communication skills; business acumen; and attention to detail.

 

Key Responsibilities

  • Assist in public and private equity offerings, including registration statements, prospectuses, and related documentation.

  • Support clients with ongoing disclosure obligations, including 10-Ks, 10-Qs, proxy statements, and Section 16 filings.

  • Provide guidance on SEC and exchange regulations, board governance, and internal policies.

  • Participate in calls and meetings with clients, regulators, and cross-office colleagues.

  • Support specialized matters involving REITs, including compliance and transactional support.

Compensation & Benefits

  • Competitive Compensation: Annual base salary is expected to range from $235,000 – $260,000, depending on experience, qualifications, and market factors. Discretionary bonus opportunities are also available.
