TITLE: UK Capital Markets Associate

LOCATION: LondonEXPERIENCE LEVEL- 1-3 PQEREMUNERATION: Basic Range UK 164,00 - 171,000 plus bonus

Our Client, a Top Tier International Law Firm is seeking to recruit an England and Wales qualified lawyer to join their Capital Markets practice in London. Should have current and or prior experience at an American Biglaw London office or British MagicCircle firm

Our client is seeking candidates with between 1 and 3 years’ experience from a top tier capital markets practice. Candidates will ideally have had some experience in providing advice to clients in both equity and debt transactions, including listings on the London Stock Exchange. As the London Capital Markets practice operates as a single integrated team working on a broad range of international transactions (including SEC-registered and Rule 144A offerings), the role presents an exciting opportunity for a lawyer keen to develop experience on matters with UK and US elements.

ADDITIONAL RESPONSIBILITIES

Transaction Support: Assist in all stages of equity and debt transactions, including IPOs, secondary offerings, private placements, and debt issuances. This involves conducting due diligence, drafting transactional documents, and liaising with clients and external parties.

Legal Advisory: Provide legal advice and analysis to clients on various capital markets matters, including regulatory compliance, disclosure requirements, and corporate governance matters.

Client Interaction: Build and maintain strong relationships with clients by understanding their business objectives and providing strategic legal advice tailored to their needs.

Cross-Border Transactions: Work on international transactions with both UK and US elements, collaborating closely with colleagues from different jurisdictions to ensure seamless execution and compliance with relevant regulations.

Drafting and Negotiation: Prepare and review legal documentation, including prospectuses, offering memorandum, underwriting agreements, and ancillary agreements. Engage in negotiations with counterparties to achieve favorable terms for clients.

Team Collaboration: Work collaboratively within a diverse team of lawyers and professionals, contributing to a positive and inclusive work environment. Mentor junior team members and share knowledge and best practices.

Research and Analysis: Stay abreast of developments in capital markets regulations and industry trends, conducting legal research and analysis as needed to support client matters and business development efforts.Requirements: 

Qualifications: Qualified lawyer in England and Wales with 1 to 3 years of post-qualification experience in capital markets law, ideally from a Big Law background.

Experience: Prior experience in a top-tier capital markets practice, with exposure to a variety of equity and debt transactions, including listings on the London Stock Exchange. Familiarity with SEC-registered and Rule 144A offerings is desirable.

Skills: Excellent drafting, communication, and negotiation skills. Strong academic background, demonstrating intellectual rigor and analytical ability.

Attributes: Ambitious and motivated individual with a proactive approach to work. A team player who can also work independently and manage multiple tasks effectively.
