Real Estate Senior Associate Attorney / Of Counsel

Our client, a prominent AmLaw 200 firm, is seeking an experienced and motivated Associate Attorney or Of Counsel to join their dynamic Real Estate Practice Group in Dallas. This is an excellent opportunity for a highly skilled attorney to handle sophisticated real estate transactions while working in a collaborative and fast-paced environment.

Candidate Profile:

• JD from a top-tier law school with a strong academic record.
• Active Bar Admission in Texas.
• 6+ years of substantive experience in real estate finance and joint ventures.
• Extensive experience representing institutional equity investors and developers in real estate joint ventures involving the acquisition and development of multifamily, industrial, cold storage, and other commercial properties.
• Proven ability to take the lead in drafting and negotiating joint venture agreements.
• Significant experience representing institutional borrowers in real estate financing transactions, including construction loans, structured finance, debt fund financing, and CMBS-style lending.
• Experience handling complex capital stack structures, including mezzanine financing components.
• Strong drafting, negotiation, and analytical skills, with the ability to manage transactions independently and collaborate effectively with clients and colleagues.

Key Responsibilities:

• Represent institutional investors and developers in structuring and negotiating joint venture agreements for commercial real estate acquisitions and developments.
• Advise clients on real estate financing matters, including loan documentation, structuring transactions, and negotiating terms with lenders.
• Lead drafting and negotiation efforts for joint venture agreements and financing documents.
• Work closely with clients to structure transactions that align with their strategic objectives.
• Collaborate with a team of experienced real estate attorneys in a fast-paced, high-caliber practice.
