SECURITIES ATTORNEY – INVESTMENT FUNDS GROUP (non-partnership track)

A top-10 AmLaw firm is seeking a talented Securities Attorney to join its Investment Funds Group for a professional track (non-partnership) position. This opportunity is ideal for attorneys with deep experience in structured securities offerings and commercial real estate transactions. The role provides flexibility to work from several office locations while engaging in sophisticated transactions for prominent real estate and financial industry clients.
Candidate Profile
- JD from a top-tier law school with an excellent academic record.
- Active Bar Admission in the relevant jurisdiction, in good standing.
- 6+ years of substantive experience managing structured securities offerings.
- Securities Expertise: Strong background in structured securities offerings, particularly within the commercial real estate sector.
- Real Estate Focus: Significant experience advising public and private real estate companies, REITs, and institutional investors on acquisitions, dispositions, restructurings, complex financings, and real estate development.
- AmLaw Experience: Relevant experience at an AmLaw 100 firm is strongly preferred.
- Soft Skills: Excellent analytical and writing skills, business acumen, attention to detail, and the ability to work independently as well as collaboratively.
Key Responsibilities

Lead and manage securities transactions and related real estate finance matters.

Represent REITs, investment funds, and institutional investors in a variety of high-value, complex deals.

Draft and negotiate offering documents, transaction agreements, and disclosure materials.

Coordinate with internal and external stakeholders to ensure seamless execution of deals.

Collaborate across practice areas to deliver integrated, business-focused legal solutions.

Provide strategic guidance to clients on securities regulatory compliance and transaction structuring.

Compensation & Benefits
- Competitive Compensation: Annual base salary is expected to range from $151,315 – $350,000, depending on experience, qualifications, and market factors. Discretionary bonus opportunities are also available.
