PRIVATE FUNDS ASSOCIATE ATTORNEY

Our client, a leading global AmLaw 50 law firm, is seeking a talented Private Funds Associate Attorney to join their well-established Financial Services Practice Group in Boston. This is an outstanding opportunity for a driven attorney to join a premier private funds team advising high-profile asset managers across diverse fund structures and strategies.

 

Candidate Profile:

  • JD from a top-tier law school with a strong academic record.

  • Active Bar Admission in Massachusetts, in good standing.

  • 3–6 years of substantive experience in private fund formation and related regulatory matters.

  • Experience drafting and negotiating fund documentation, including private placement memoranda, partnership and LLC agreements, subscription materials, side letters, advisory agreements, and placement agent agreements.

  • Demonstrated ability to manage fundraises from launch to close, including client communications, investor negotiations, and closing logistics.

  • Strong understanding of the Investment Advisers Act, Investment Company Act exemptions, and Regulation D offering requirements.

  • Preference for candidates with direct private funds experience, though strong corporate associates with a sincere interest in private funds will be considered.

  • Prior experience at a large law firm is highly preferred; in-house or regulatory experience is a plus.

  • Soft Skills: Strong legal writing, communication, and oral advocacy skills, alongside sound business acumen, are essential.
 

Key Responsibilities:

  • Advise fund sponsors on structuring and forming a wide range of private investment funds, including private equity, private credit, real estate, growth capital, secondaries, and funds of funds.

  • Draft, review, and negotiate key fund formation documents and side letters.

  • Lead investor negotiations and manage the full subscription and closing process.

  • Coordinate regulatory filings and provide counsel on compliance with relevant securities laws and industry regulations.

  • Serve as a key point of contact for clients, providing strategic advice and timely, practical solutions throughout the fund lifecycle.

  • Collaborate closely with colleagues across the firm’s transactional and regulatory practices to provide comprehensive client support.

Compensation & Benefits:

Competitive Salary: $260,000+, commensurate with experience and class year.
