Our client, a prestigious AmLaw 50 firm, is seeking a talented Mid-Level Associate Attorney to join its dynamic Emerging Companies & Venture Capital (ECVC) practice in Seattle. This is an outstanding opportunity to be part of a nationally respected team that advises cutting-edge startups, high-growth companies, and leading venture capital funds on complex and strategic transactions throughout the business lifecycle.
JD from a top-tier law school with an excellent academic record.
Active Bar Admission in Washington, in good standing.
2-5 years of substantive experience in emerging company and venture capital matters.
Demonstrated experience advising startup clients and venture capital funds on matters such as business formation, seed to later-stage financings, mergers and acquisitions, and corporate governance.
Strong quantitative and Excel skills, with comfort managing financial and ownership structures (e.g., cap tables).
Excellent verbal and written communication skills and the ability to effectively manage both internal and external client relationships.
Prior experience at an AmLaw 100 or similarly sophisticated law firm strongly preferred.
Proactive, entrepreneurial mindset and team-oriented approach.
Counsel founders and startups throughout the company lifecycle, including entity formation, equity financings, and exit transactions.
Represent venture capital and strategic investors in funding transactions and portfolio management.
Draft, review, and negotiate a range of corporate documents, including term sheets, stock purchase agreements, and investor rights agreements.
Provide guidance on corporate governance, equity compensation, and compliance issues.
Work closely with partners and senior associates on high-growth client portfolios and fast-paced transactions.
Contribute to client development efforts and knowledge-sharing within the ECVC team.

Competitive compensation: Includes an expected annual salary range of $235,000 to $365,000, commensurate with experience, and eligibility for a discretionary bonus.
