TECHNOLOGY TRANSACTIONS ASSOCIATE ATTORNEY

An international AmLaw 50 firm is seeking a talented Associate Attorney to join its leading Technology Transactions Practice Group. This is an exciting opportunity to work on high-impact intellectual property and commercial transactions for cutting-edge technology clients across the globe.

 

 

Candidate Profile

  • JD from a top-tier law school with an excellent academic record
    • Coursework in IP, technology, and/or commercial law is required.
  • Active Bar Admission in the relevant jurisdiction, in good standing.
  • 3–7 years of substantive experience with intellectual property (IP) and commercial transactions in a law firm setting.
  • Demonstrated experience structuringdrafting, and negotiating complex IP and technology-related agreements, including licensing, development, services, distribution, and strategic partnerships.
  • Experience handling the IP aspects of mergers and acquisitions (M&A) and equity financing transactions.
  • Interest in, or experience with, artificial intelligence is advantageous.
  • Technical background strongly preferred.
    • Science Degree or experience working with technology (Computer Science, Computer Programming, Engineering, etc.)
  • Ability to manage multiple deal streams in a fast-paced environment.
  • Soft Skills: Excellent research, writing, analysis, and communication skills are essential, alongside a strong business acumen and meticulous attention to detail.

 

 

Key Responsibilities

  • Draft, review, and negotiate a wide range of technology and IP agreements, including software, tech, and content licensing; software and technology development; professional servicessupply & distribution; manufacturing; and collaborations.
  • Provide IP diligence and strategic counseling in connection with M&Aequity financingE-commerce, media, and entertainment transactions.
  • Collaborate with internal corporate, litigation, and regulatory teams to address IP-related risks and strategy.
  • Advise clients on structuring commercial transactions that align with evolving business models and technology trends.
  • Work directly with clients to understand their business objectives and craft tailored legal solutions.
  • Contribute to team development, knowledge sharing, and client growth initiatives.

Compensation & Benefits

  • Competitive Salary: $260,000 – $365,000, commensurate with experience and class year.

  • Discretionary merit bonus eligibility.
