HYBRID - 3 days/week in office

 

 

A leading AmLaw 100 firm is seeking a talented Associate Attorney to join its sophisticated Corporate Practice Group, focusing on mergers & acquisitions (M&A), general corporate, and commercial matters. This role provides the opportunity to work on sophisticated transactions for public and private companies, private equity funds, and financial institutions while collaborating with a top-tier, nationally integrated team.

 

 

Candidate Profile

  • JD from an ABA-accredited law school with an excellent academic record
  • Active Bar Admission in the applicable jurisdiction, in good standing
  • 3–6 years of substantive corporate law experience, with a focus on M&A
  • Proven experience leading due diligence teams and managing specialists
  • Strong experience drafting and negotiating transaction documents for complex deals
  • Demonstrated ability to manage multiple assignments with minimal supervision
  • Exceptional written and oral communication skills
  • Strong academic credentials and a collaborative, client-focused mindset
 
 

Key Responsibilities

  • Lead and manage M&A transactions from inception through closing
  • Conduct and coordinate due diligence, managing specialists and internal teams
  • Draft, review, and negotiate a full range of transaction documents, including purchase agreements, shareholder agreements, and ancillary documentation
  • Collaborate with partners and clients to develop strategic transaction structures and solutions
  • Provide practical, business-minded advice to clients on corporate and commercial matters
  • Work across offices to deliver high-quality service in a collaborative, fast-paced environment

Compensation & Benefits

  • Competitive Salary: Annual salary range of $180,000– $315,000, as determined by experience and market factors
  • Bonus Eligibility: Productivity-based and discretionary bonus opportunities
