HYBRID - 3 days/week in office

A leading AmLaw 100 firm is seeking a talented Associate Attorney to join its sophisticated Corporate Practice Group, focusing on mergers & acquisitions (M&A), general corporate, and commercial matters. This role provides the opportunity to work on sophisticated transactions for public and private companies, private equity funds, and financial institutions while collaborating with a top-tier, nationally integrated team.

Candidate Profile

JD from an ABA-accredited law school with an excellent academic record
Active Bar Admission in the applicable jurisdiction, in good standing
3–6 years of substantive corporate law experience, with a focus on M&A
Proven experience leading due diligence teams and managing specialists
Strong experience drafting and negotiating transaction documents for complex deals
Demonstrated ability to manage multiple assignments with minimal supervision
Exceptional written and oral communication skills
Strong academic credentials and a collaborative, client-focused mindset

Key Responsibilities

Lead and manage M&A transactions from inception through closing
Conduct and coordinate due diligence, managing specialists and internal teams
Draft, review, and negotiate a full range of transaction documents, including purchase agreements, shareholder agreements, and ancillary documentation
Collaborate with partners and clients to develop strategic transaction structures and solutions
Provide practical, business-minded advice to clients on corporate and commercial matters
Work across offices to deliver high-quality service in a collaborative, fast-paced environment

Compensation & Benefits

Competitive Salary: Annual salary range of $180,000– $315,000, as determined by experience and market factors
Bonus Eligibility: Productivity-based and discretionary bonus opportunities
