Our client, a prominent international AmLaw 50 law firm, is seeking a talented Mid to Senior-Level Associate Attorney to join their nationally-recognized Fund Formation/Investment Funds Practice Group. This is an exciting opportunity to work directly with senior leadership at premier fund manager clients while advising on sophisticated fund structuring, formation, and investor negotiations in a collaborative and dynamic environment.

 

 

Candidate Profile

  • JD from a top-tier law school with an excellent academic record
  • Active Bar Admission in the relevant jurisdiction, in good standing
  • 4–6 years of substantive experience in structuring and forming private investment funds
  • Demonstrated experience negotiating with fund investors and handling fund operational matters
  • Strong drafting skills with the ability to manage complex transactions
  • Exceptional interpersonal, communication, and client-management skills

 

 
 

 

Key Responsibilities
  • Advise fund manager clients on the structuring, formation, and operation of private investment funds
  • Negotiate with institutional and high-net-worth investors on fund terms and related agreements
  • Draft fund formation documents and operational agreements, ensuring compliance with applicable laws and regulations
  • Collaborate closely with partners, associates, and clients to deliver strategic legal and business solutions
  • Provide ongoing counsel on fund governance, regulatory issues, and operational matters

Compensation & Benefits

  • Expected annual base salary range of $265,000-$390,000, as determined by experience and market factors
  • Eligibility for a discretionary bonus
