OIL & GAS TRANSACTIONAL ASSOCIATE ATTORNEY

Our client, a prestigious AmLaw 100 firm with a nationally recognized Energy practice, is seeking a talented Oil & Gas Transactional Associate Attorney to join its Houston office. This is an excellent opportunity for a mid-level associate to gain hands-on experience in complex transactions across the traditional energy sector, with the ability to work on both established oil and gas matters and innovative energy transition projects.

 

 

Candidate Profile

  • JD from a top-tier law school with a strong academic record.
  • Active Bar Admission in Texas, in good standing.
    • Candidates relocating to Houston and willing to gain admission within the first year of employment are also welcome to apply.
  • 4+ years of substantive experience in energy-related corporate transactions.
  • Background in one or more of the following within the upstream and midstream oil and gas sectors:
    • Mergers and acquisitions (M&A), divestitures, joint ventures, development agreements, operating agreements, and/or commercial contracts.
  • Experience drafting and negotiating gathering, transportation, processing, supply, and offtake agreements related to carbon capture and energy transition projects is highly valued
  • Strong drafting, negotiation, and analytical skills; business-oriented approach to client service; and ability to manage complex matters within a collaborative team environment.
 
 

Key Responsibilities

  • Advise clients on transactional matters in the energy industry, including upstream and midstream oil and gas, as well as emerging energy transition projects.
  • Draft, review, and negotiate a wide range of agreements, including gathering, transportation, processing, supply, offtake, joint venture, and operating agreements.
  • Support clients on M&A transactions, divestitures, and project development initiatives.
  • Provide strategic legal advice tailored to client business objectives and regulatory considerations.
  • Collaborate with colleagues across practice groups to provide integrated solutions to energy clients.
  • Engage with clients directly, building long-term relationships through clear communication and practical, business-focused legal counsel.

Compensation & Benefits

  • Competitive Compensation: Annual base salary is expected to start at $310,000+, depending on experience, qualifications, and market factors.
