CAPITAL MARKETS ASSOCIATE ATTORNEY (JUNIOR LEVEL)

Our client, a prominent AmLaw 100 firm, is seeking a talented and motivated junior-level Capital Markets Associate Attorney to join its expanding practice. This role offers the opportunity to work on sophisticated securities and transactional matters in a collaborative and nationally recognized practice group.

 

 

Candidate Profile

  • JD from a top-tier law school with a strong academic record
  • Bar Admission in the relevant jurisdiction, in good standing
  • 2–3 years of substantive experience in capital markets and corporate transactions
  • In-depth knowledge of the Securities Act and Securities Exchange Act, including the preparation and filing of periodic reports and disclosures
  • Experience advising on securities offerings (public and private), with exposure to CMPOs, RDs, PIPEs, and ATMs preferred
  • Meaningful experience at a law firm of comparable rank handling complex corporate or capital markets matters
  • Strong drafting and negotiating skills with the ability to handle sophisticated transactional work
  • Demonstrated client-service orientation and a desire for direct client contact

 

 

Key Responsibilities

  • Advise public and private companies on compliance with federal securities laws and stock exchange requirements
  • Draft, review, and file periodic reports, registration statements, and disclosure documents
  • Support and manage securities offerings, including CMPOs, RDs, PIPEs, and ATM programs
  • Negotiate and draft transaction-related agreements and offering documents
  • Collaborate with senior attorneys and cross-practice teams to execute transactions efficiently and strategically
  • Engage directly with clients, providing practical solutions and building trusted long-term relationships

Compensation & Benefits

  • Competitive Salary: Expected annual base salary ranges from $225,000-$250,000, as determined by experience and market factors
