Our client, a leading international AmLaw 25 law firm, is seeking a talented Associate Attorney to join their Corporate Advisory Practice Group in New York, focusing on fund formation and private equity funds. This is a unique opportunity to work with private equity sponsors and investors on the structuring, formation, and operation of private investment funds, while advising on complex legal, regulatory, and compliance matters.

 

 

Candidate Profile

  • JD from a top-tier law school with an excellent academic record.
  • Active Bar Admission in New York, in good standing.
  • 2–4 years of substantive fund formation experience at a law firm.
  • Strong background in private equity fund structuring, investor negotiations, and compliance issues.
  • Excellent legal writing, verbal communication, and analytical skills.
  • Demonstrated professionalism with the ability to engage directly with high-profile clients and investors.
  • Highly organized, with proven ability to balance multiple assignments and meet deadlines.
  • Collaborative team player who also thrives working independently.
 

 

Key Responsibilities

  • Advise private equity sponsors and institutional investors on the structuring, formation, and operation of private investment funds.
  • Counsel clients on legal, regulatory, and compliance matters impacting fund sponsors.
  • Draft and negotiate fund documentation, side letters, and investor agreements.
  • Manage complex transactions, balancing multiple priorities with precision and efficiency.
  • Collaborate with colleagues across practice areas to deliver integrated client service.
  • Engage with partners and clients from the outset, offering strategic guidance and practical solutions.

Compensation & Benefits

  • Competitive Salary: $235,000 – $310,000, commensurate with class year and experience.
