M&A ASSOCIATE ATTORNEY

A prominent law firm, ranked by Vault as a 2026 "Best Midsize Law Firm in Chicago" and a "Top 150 Under 150" firm, is seeking a talented Corporate Associate Attorney to join its mergers and acquisitions (M&A) practice. This role provides the opportunity to work on sophisticated corporate transactions across industries, including M&A, private equity, venture capital, and securities offerings. Associates in this practice will receive immediate responsibility, direct client interaction, and the chance to thrive in a collaborative, entrepreneurial environment.
 

 

Candidate Profile

  • JD from an ABA-accredited law school with an excellent academic record
  • Active Bar Admission in Illinois (or another U.S. jurisdiction), in good standing
  • 2–4 years of substantive experience in corporate and transactional matters
  • Strong background in general corporate matters, including entity formation, reorganizations, mergers, and contract drafting
  • Experience handling M&A transactions, including due diligence, drafting, and negotiating key agreements, and managing the closing process
  • Exposure to venture capital investments and securities offerings (public and private) is a plus
  • Prior experience in a large law firm setting or other sophisticated corporate/M&A practice is required
  • Demonstrated ability to manage multiple matters simultaneously and mentor junior attorneys or paralegals
  • Soft Skills: Excellent communication, drafting, and analytical skills; proactive problem-solver with meticulous attention to detail; collaborative team player who thrives in fast-paced, entrepreneurial environments
 

 

Key Responsibilities

  • Draft, review, and negotiate corporate and M&A agreements, including purchase agreements, shareholder agreements, operating agreements, and ancillary deal documents
  • Manage due diligence and closing processes for M&A transactions
  • Advise clients on corporate governance, reorganizations, and compliance matters
  • Provide counsel on venture capital financings, investments, and securities offerings as needed
  • Work closely with senior attorneys and partners while maintaining direct client communication
  • Supervise and mentor junior associates and paralegals on corporate and transactional projects

Compensation & Benefits

  • Competitive Compensation: Base salary expected to range from $165,000 – $230,000, depending on experience and hours commitment
