A top-10 AmLaw firm is seeking a talented mid-level Associate Attorney to join its Finance practice, focusing on lender-side commercial finance. The role is open to attorneys based in Boston, Los Angeles, New York, San Diego, or San Francisco, with a hybrid in-office schedule.
This is an excellent opportunity to join a fast-growing national finance practice representing leading banks and private credit funds in deals with technology, life sciences, and middle-market companies.
Candidate Profile
JD from a top-tier law school with an excellent academic record.
Active Bar Admission in the relevant jurisdiction, in good standing.
4+ years of substantive experience in commercial finance at an AmLaw 100 firm or peer institution.
Strong background in lender-side representation, including structuring and negotiating credit facilities and secured transactions.
Industry experience in tech, life sciences, and middle-market lending is preferred.
Comfortable handling deal execution and leading workstreams with appropriate oversight.
Soft Skills: Excellent analytical, writing, and persuasive communication skills, attention to detail, and the ability to work independently as well as collaboratively. The ideal candidate will be an influential force with a strong business acumen.
Key Responsibilities
Represent lenders, banks, and private credit funds in a wide variety of loan transactions.
Draft, review, and negotiate loan documents, security agreements, and intercreditor arrangements.
Advise on commercial finance structures, including venture debt, acquisition finance, and working capital facilities.
Collaborate closely with clients, opposing counsel, and cross-practice teams throughout the transaction lifecycle.
Support internal knowledge management and mentor junior attorneys as appropriate.
