Job Title: Senior Corporate Transactions Attorney (4–5 Years' Experience)
Practice Area: Corporate Transactions – Emerging Companies, M&A
Location: New York, NY or Boston, MA (hybrid work arrangement)
Schedule: Full-time; Billable Hour Expectation: Approx. 1800/year
Salary: Competitive base salary plus discretionary bonus; total compensation is highly competitive with peer firms

Responsibilities:
This role sits within the firm's Corporate Practice and is ideal for attorneys seeking meaningful engagement with emerging companies as well as experience with complex transactional work. Core responsibilities include:

  • Advising startups and high-growth companies through formation, funding rounds, and operational stages

  • Leading equity financing transactions, including seed and venture rounds

  • Handling mergers, acquisitions, and related divestitures, auctions, and carve-outs

  • Providing strategic support on governance and shareholder matters

  • Collaborating with cross-functional teams (IP, tax, employment) for seamless transaction execution

  • Mentoring junior associates and managing deal teams efficiently

  • Drafting, negotiating, and reviewing complex transaction documents with precision

Required Credentials:

  • Juris Doctor (JD) from an accredited U.S. law school

  • Admission to practice law and in good standing in the state of New York or Massachusetts (depending on office)

  • 4–5 years of post-JD experience in a corporate practice at a law firm

  • Strong foundation in startup counseling, private company M&A, and equity financing

  • Demonstrated ability to manage transactions independently and lead junior team members

  • Excellent drafting, negotiation, and communication skills

Additional Preferred Skills:

  • Familiarity with capital markets and public company disclosure work (not required)

  • Experience representing high-growth tech or life sciences companies

  • Exposure to cross-border transactions or international clients

  • Commitment to client service, responsiveness, and strategic thinking

  • Strong interpersonal and leadership traits suited to a collaborative work culture
