CAPITAL MARKETS ASSOCIATE ATTORNEY

Location: New York, NYHYBRID

 

 

Our client, a prestigious AmLaw 100 firm with a nationally recognized Capital Markets practice, is seeking a motivated and detail-oriented Associate Attorney to join its New York office. This is an excellent opportunity for a junior corporate attorney to gain exposure to sophisticated transactions within the energy and utilities sector, while working alongside a collaborative team of industry-leading practitioners.

 

 

Candidate Profile:

  • JD from a top-tier law school with a strong academic record.

  • Active Bar Admission in New York, in good standing.

  • 1–2 years of substantive experience in corporate transactions, preferably in capital markets or related practice areas.

  • Transactional Experience: Prior exposure to complex capital markets transactions, securities offerings, or corporate governance is preferred.

  • Sector Interest: Interest or experience in the power and utilities industry is a plus, though not required.

  • Skill Set: Strong analytical, drafting, and communication skills; detail-oriented with the ability to manage multiple workstreams under partner supervision.

  • Professionalism: Demonstrated initiative, sound judgment, and a client-focused mindset; ability to work well within a team-oriented, fast-paced environment.

 
 

Key Responsibilities:

  • Assist in advising public and private companies on capital markets transactions, including equity and debt offerings.

  • Draft, review, and negotiate disclosure documents, transaction agreements, and SEC filings.

  • Conduct legal research and provide regulatory analysis related to securities law compliance and corporate governance.

  • Support the execution of high-value deals through all phases of the transaction lifecycle.

  • Collaborate with colleagues across practice groups, including energy, M&A, and finance, to deliver coordinated client service.

  • Engage directly with clients, with increasing responsibility as experience and skill develop.

Compensation & Benefits:

  • Competitive Compensation: Annual base salary is expected to range from $225,000 – $235,000, depending on experience, qualifications, and market factors. Discretionary bonus opportunities are also available.
