Emerging Companies & Venture Capital - Junior Associate Attorney

Our client, a prestigious AmLaw 50 firm, is seeking a driven Junior Associate Attorney to join its growing Emerging Companies & Venture Capital (ECVC) practice in New York. This is a prime opportunity to work with a nationally respected team advising high-growth companies and the funds that invest in them—from incorporation through exit.

 

Candidate Profile:

  • JD from a top-tier law school with a strong academic record.

  • Active Bar Admission in New York.

  • 2+ years of substantive experience in corporate law, ideally with a focus on emerging companies or venture capital transactions.

  • Experience advising clients on business formation, equity financings, M&A, and general corporate governance.

  • Strong communication skills, both written and verbal, and an ability to manage client relationships effectively.

  • Proficiency in Excel and comfort with cap tables, finance models, and quantitative deal work.

  • Previous experience at an AmLaw 100 or similarly reputable law firm is highly preferred.

  • Team-oriented mindset and strong work ethic with a client-first approach.

 

Key Responsibilities:

  • Advise founders, startups, and emerging companies throughout all stages of growth.

  • Support clients in venture financings, equity compensation, governance, and exit transactions.

  • Work closely with venture capital firms on investments and portfolio company matters.

  • Draft and negotiate term sheets, stock purchase agreements, and corporate governance documents.

  • Collaborate with a national team of top-tier attorneys on fast-paced and high-impact matters.

In addition to a positive company culture, associates receive competitive compensation, ranging from $235,000 to $390,000 annually, commensurate with experience.
