Our client, a prestigious AmLaw 50 firm, is seeking a driven Junior Associate Attorney to join its growing Emerging Companies & Venture Capital (ECVC) practice in New York. This is a prime opportunity to work with a nationally respected team advising high-growth companies and the funds that invest in them—from incorporation through exit.
JD from a top-tier law school with a strong academic record.
Active Bar Admission in New York.
2+ years of substantive experience in corporate law, ideally with a focus on emerging companies or venture capital transactions.
Experience advising clients on business formation, equity financings, M&A, and general corporate governance.
Strong communication skills, both written and verbal, and an ability to manage client relationships effectively.
Proficiency in Excel and comfort with cap tables, finance models, and quantitative deal work.
Previous experience at an AmLaw 100 or similarly reputable law firm is highly preferred.
Team-oriented mindset and strong work ethic with a client-first approach.
Advise founders, startups, and emerging companies throughout all stages of growth.
Support clients in venture financings, equity compensation, governance, and exit transactions.
Work closely with venture capital firms on investments and portfolio company matters.
Draft and negotiate term sheets, stock purchase agreements, and corporate governance documents.
Collaborate with a national team of top-tier attorneys on fast-paced and high-impact matters.

In addition to a positive company culture, associates receive competitive compensation, ranging from $235,000 to $390,000 annually, commensurate with experience. The firm offers a comprehensive benefits package, including eligibility for an annual discretionary bonus, medical, dental, and vision insurance, personal medical and parental leave, up to ten paid holidays, family care benefits, and a 401(k) plan.
