Associate Attorney - Finance (Borrower-Side Private Equity)

Our client, a prestigious AmLaw 50 firm, is seeking a skilled Associate Attorney to join their rapidly-growing Private Equity Finance Practice, with a focus on borrower-side transactions. The position is available in multiple US offices: Boston, Century City, Chicago, New York, San Diego, or Washington, DC. This is an exciting opportunity to join a leading finance team that handles some of the most sophisticated sponsor-backed deals in the market.

 

Candidate Profile:

  • JD from a top-tier law school with a strong academic record.

  • Active Bar Admission in the relevant jurisdiction.

  • 1+ years of substantive experience in borrower-side private credit, acquisition finance, or leveraged finance.

  • Experience representing private equity sponsors in acquisition financings is strongly preferred.

  • Demonstrated ability to draft and negotiate credit agreements and related documents.

  • Strong understanding of commercial lending structures and market trends.

  • Excellent communication, analytical, and organizational skills.

  • This position is for the firm's 2nd-4th year associate class.
 

Key Responsibilities:

  • Represent private equity sponsors and their portfolio companies in a wide range of borrower-side financing transactions, including leveraged buyouts, recapitalizations, and refinancings.

  • Draft and negotiate credit agreements, commitment papers, intercreditor agreements, and other loan documentation.

  • Coordinate deal execution and liaise with opposing counsel, lenders, and internal deal teams.

  • Provide strategic advice to clients regarding deal structure, terms, and risk management.

  • Collaborate with colleagues across M&A, tax, and regulatory teams to deliver comprehensive client service.
