Capital Markets Managing Associate Attorney

Our client, a prestigious Amlaw 50 firm, is seeking a talented Managing Associate Attorney to join their distinguished Capital Markets Practice in New York, San Francisco, or Boston. This is a unique opportunity to represent high-growth technology and life sciences companies as they raise capital, go public, and scale as public entities.

 

Candidate Profile:

  • JD from a top-tier law school with a strong academic record.

  • Active Bar Admission in the relevant jurisdiction.

  • 4–5 years of substantive experience handling capital markets transactions at an AmLaw firm.

  • Strong command of SEC rules and the mechanics of public securities offerings, including equity and debt.

  • Experience working with technology and/or life sciences clients is a plus.

  • Excellent writing, communication, and project management skills.

  • Highly motivated with a client-focused, entrepreneurial mindset and a collaborative working style.

 

Key Responsibilities:

  • Advise issuers, underwriters, and investors on public and private offerings of equity and debt securities.

  • Support clients throughout IPO processes and follow-on offerings.

  • Draft and review offering documents, registration statements, and related SEC filings.

  • Counsel clients on ongoing public company reporting obligations and corporate governance matters.

  • Manage deal execution, due diligence, and communications with regulators.

  • Collaborate with colleagues across corporate, regulatory, and litigation teams to provide holistic support.
