Our client, a prestigious Amlaw 50 firm, is seeking a talented Associate Attorney to join their distinguished Capital Markets Practice in New York, San Francisco, or Boston. This is a unique opportunity to represent high-growth technology and life sciences companies as they raise capital, go public, and scale as public entities.
JD from a top-tier law school with a strong academic record.
Active Bar Admission in the relevant jurisdiction.
2–3 years of substantive experience handling capital markets transactions at an AmLaw firm.
Strong command of SEC rules and the mechanics of public securities offerings, including equity and debt.
Experience working with technology and/or life sciences clients is a plus.
Excellent writing, communication, and project management skills.
Highly motivated with a client-focused, entrepreneurial mindset and a collaborative working style.
Advise issuers, underwriters, and investors on public and private offerings of equity and debt securities.
Support clients throughout IPO processes and follow-on offerings.
Draft and review offering documents, registration statements, and related SEC filings.
Counsel clients on ongoing public company reporting obligations and corporate governance matters.
Manage deal execution, due diligence, and communications with regulators.
Collaborate with colleagues across corporate, regulatory, and litigation teams to provide holistic support.

The firm offers highly-competitive compensation, with an expected annual salary range of $235,000-$260,000, commensurate with experience, discretionary performance-based bonuses, and a comprehensive benefits package featuring health insurance, retirement plans, generous parental leave, wellness programs, paid time off, and additional perks.
