VC Fund Formation Associate Attorney

Our client, a prestigious Amlaw 50 firm, is seeking a Managing or Senior Associate Attorney to join their thriving Technology Companies Group practice in Silicon Valley, San Francisco, Santa Monica, Seattle, New York, Boston, Washington, D.C. or Orange County. This is an exceptional opportunity for an entrepreneurial attorney with deep knowledge of venture capital and growth equity fund structures to take on a client-facing leadership role within a nationally recognized team.

 

Candidate Profile:

  • JD from a top-tier law school with a strong academic record.

  • Active Bar Admission in the relevant jurisdiction.

  • 4–7 years of substantive experience advising on private fund formation and investment management matters.

  • Meaningful experience representing venture capital and/or growth equity fund sponsors is required.

  • Demonstrated ability to manage transactions, maintain strong client relationships, and advise on structuring and regulatory issues.

  • Excellent writing, communication, and organizational skills.

  • A collaborative approach, entrepreneurial mindset, and strong commitment to client service.

 

Key Responsibilities:

  • Represent fund sponsors in the formation and operation of venture capital, growth equity, and other private investment vehicles.

  • Advise clients on capital raising, fund structuring, regulatory compliance, and investor negotiations.

  • Work closely with emerging and established fund managers, ranging from first-time funds to those with multi-billion-dollar portfolios.

  • Collaborate with attorneys across corporate, tax, and regulatory teams to deliver comprehensive client solutions.

  • Lead deal teams and mentor junior associates to support career development and excellent client outcomes.
