Associate Attorney - Corporate (Investment Funds)

Our client, a prestigious AmLaw 50 firm, is seeking a talented and driven Corporate Associate Attorney to join their world-class Investment Funds practice. This opportunity is available across multiple office locations including New York, Boston, Chicago, Houston, San Diego, and Washington, DC.

 

Candidate Profile:

  • JD from a top-tier law school with a strong academic record.

  • Active Bar Admission in the relevant jurisdiction.

  • 3+ years of substantive experience in private equity fund formation.

  • Deep understanding of private investment fund structuring, fundraising, and operations.

  • Experience advising on sponsor internal arrangements, regulatory compliance, and investor negotiations.

  • Ability to manage complex projects and client relationships with a proactive, solution-oriented mindset.

  • Excellent drafting, communication, and analytical skills.

 

Key Responsibilities:

  • Counsel private fund sponsors on all aspects of fund formation, including structuring, documentation, and investor negotiations.

  • Advise on operational, governance, and compliance matters related to private investment funds.

  • Draft and negotiate fund documents, side letters, and related agreements.

  • Assist clients in navigating SEC regulations and other regulatory frameworks impacting private funds.

  • Collaborate with attorneys across disciplines to deliver integrated and strategic legal solutions.

  • Maintain and develop strong client relationships with a high level of responsiveness and professionalism.
