ASSOCIATE ATTORNEY - LEVERAGE FINANCE

Our client, a global AmLaw 50 firm, is seeking a talented Associate Attorney to join its elite Global Finance practice. This is a unique opportunity to work on complex, market-shaping leveraged finance transactions alongside an elite team of finance professionals representing borrowers, sponsors, lenders, and institutional investors. The practice offers cross-border exposure and a dynamic client base, making it a standout destination for attorneys looking to build deep experience in the global financial market.

 

 

Candidate Profile

  • JD from a top-tier law school with an excellent academic record.
  • Active Bar Admission in Pennsylvania, in good standing.
  • 3+ years of substantive experience in leveraged finance, preferably in a large law firm setting.
  • Experience representing borrowerslenders, issuers, private equity sponsors and/or agents in complex financing transactions.
  • High proficiency in drafting and negotiating transactional documents.
  • Demonstrated experience working with sophisticated finance transactions, including domestic and cross-border acquisitions, dividend and other recapitalizations, and restructuring and reorganizations.
  • Familiarity with middle market lending strongly preferred.
  • Experience representing alternative financiers, including business development companies (BDCs), hedge funds and other non-bank lenders preferred.
  • Strong ability to independently manage aspects of transactions and contribute effectively as a key deal team member.
  • Soft Skills: Excellent analytical, writing, and communication skills; sound business judgment; and attention to detail are essential.
 

 

Key Responsibilities

  • Represent private equity sponsors, borrowers, and lenders in high-stakes domestic and cross-border leveraged finance transactions.
  • Draft, review, and negotiate key documentation including credit agreements, commitment letters, and security documents.
  • Coordinate transaction workflow across deal teams and external stakeholders to ensure timely and efficient closings.
  • Advise clients on financing structures across all levels of the capital stack.
  • Collaborate with partners and senior associates across related practice areas to support complex multidisciplinary matters.

Compensation & Benefits

  • Competitive Salary: $260,000+, commensurate with experience and class year.
