Our client, an international AmLaw 50-ranked law firm with a nationally recognized Investment Funds Practice, is seeking a skilled Associate Attorney to join its Chambers-ranked Secondaries team. This is a dynamic opportunity to work on high-profile, cutting-edge secondary market transactions within a collaborative and fast-paced environment.

 

 

Candidate Profile

  • JD from a top-tier law school with an excellent academic record.
  • Active Bar Admission in the relevant jurisdiction, in good standing.
  • 3+ years of substantive experience in private equity, secondaries, and/or fund-related transactions.
  • Demonstrated experience handling continuation fund transactions, LP-led secondaries, and other secondary market matters.
  • Proficiency in fund formation and structuring.
  • Ability to manage complex transactions independently and as part of a cross-functional team.
  • General corporate experience is a plus, but not required.
  • Prior AmLaw 100 experience is preferred.
  • Eagerness to work in-person and contribute to a highly engaged team culture.
  • Soft Skills: Strong drafting, communication, and negotiation skills are essential, as well as an entrepreneurial spirit.
 

 

Key Responsibilities

  • Represent sponsors, investors, and asset managers in a broad spectrum of secondary investment transactions.
  • Provide legal support for continuation funds, LP interest transfers, and fund restructurings.
  • Advise clients on legal and regulatory considerations related to the secondary market.
  • Draft and negotiate fund formation documents, purchase and sale agreements, and related transaction documentation.
  • Collaborate with attorneys across private equity, tax, and regulatory teams to execute complex transactions.
  • Contribute to client development and knowledge-sharing initiatives within the team.

Compensation & Benefits

  • Base Salary: Starting at $260,000+ annually, as determined by experience and market factors.

  • Bonus Eligibility.
