Our client, a global AmLaw 50 firm, is seeking a talented Associate Attorney to join its innovative Corporate Finance & Capital Markets practice. This is an outstanding opportunity to be part of a leading transactional team known for its deep industry knowledge, global reach, and cutting-edge deal execution across sectors including asset management, private credit, private equity, and life sciences.

Candidate Profile

JD from a top-tier law school with a strong academic record.
Active Bar Admission in Pennsylvania, in good standing.
3+ years of substantive experience in capital markets transactions.
Experience representing issuers, underwriters, and placement agents in public offerings and private placements of securities.
Proficiency in securities law compliance, including the Securities Act of 1933 and the Securities Exchange Act of 1934.
Familiarity with business development companies (BDCs), registered closed-end funds, and other 1940 Act entities is a plus.
Demonstrated ability to manage complex transactional workflows from diligence through closing.
Large law firm experience strongly preferred.
Strong drafting skills, commercial judgment, and a detail-oriented approach.

Key Responsibilities

Represent issuers, underwriters, and sponsors in equity and debt offerings, private placements, and other securities transactions.
Draft and negotiate offering memoranda, registration statements, underwriting agreements, and other transactional documents.
Advise clients on compliance with federal securities laws and regulatory filings under the 1933 Act and 1934 Act.
Work on a variety of capital-raising transactions, including IPOs, follow-on offerings, high-yield and investment-grade debt offerings, and sovereign bond deals.
Collaborate with attorneys across corporate, tax, and regulatory teams to structure and execute cross-border offerings and capital markets transactions.

Compensation & Benefits

Competitive Salary: $260,000+, commensurate with experience and class year.
