PRIVATE EQUITY MID-LEVEL ASSOCIATE ATTORNEY
DEBT FINANCE PRACTICE

Our client, a premier AmLaw 50 firm, is seeking a driven mid-level Associate Attorney to join its high-performing Debt Finance Practice Group. This is an exciting opportunity to work on complex and high-value debt financing transactions for elite private equity sponsors, direct lenders, and financial institutions across a wide range of industries and deal structures.
Candidate Profile

JD from a top-tier law school with a strong academic record.

Active Bar Admission in Massachusetts, in good standing, or eligibility to obtain admission promptly.

3–5 years of substantive experience representing private equity sponsors, banks, and/or private credit lenders in connection with leveraged finance transactions.

Deal Experience: Demonstrated expertise in structuring, drafting, and negotiating term and revolving credit facilities for leveraged buyouts, acquisition financings, and corporate growth.
- Documentation: Strong proficiency in drafting and negotiating commitment letters, credit agreements, and collateral documents.
- Prior experience at an AmLaw 100 or similarly sophisticated firm preferred.
- Soft Skills: Excellent communication, organizational, and analytical abilities; experience managing complex workstreams and coordinating with multiple stakeholders; proven ability to thrive in a fast-paced, high-performance environment.
Key Responsibilities

Represent private equity sponsors and financial institutions in sophisticated debt finance transactions, including leveraged buyouts, dividend recapitalizations, and other acquisition financings.

Draft, negotiate, and manage key financing documents such as commitment papers, credit agreements, and security agreements.
- Advise clients on structuring and execution of senior, mezzanine, and unitranche facilities.
- Collaborate with colleagues across the firm’s private equity, M&A, tax, and restructuring teams to deliver comprehensive transactional support.
- Serve as a key contributor throughout all stages of transactions—from term sheet negotiations through closing.

Compensation & Benefits

Competitive Compensation: Annual base salary is expected to range from $260,000 – $365,000, depending on experience, qualifications, and market factors.
