Our client, a premier AmLaw 50 firm, is seeking a skilled Senior Associate Attorney to join its Venture Capital Debt practice within the broader Debt Finance group. This is a unique opportunity to advise on high-impact financing transactions for some of the most innovative emerging growth companies and their investors, while collaborating across top-tier corporate, M&A, and venture capital teams in a dynamic, tech-forward environment.
Candidate Profile

JD from a top-tier law school with a strong academic record.

Active Bar Admission in California, in good standing, or eligibility to obtain admission promptly.

6+ years of substantive experience representing early- and late-stage companies, borrowers, or their investors in venture debt, growth capital, and similar financing transactions.
- Transactional Experience: Strong background in negotiating and drafting loan agreements and related credit documents, with a deep understanding of venture capital and emerging growth financing structures.
- Familiarity with using AI tools to support document preparation, term sheet markups, and credit agreement analysis.
- Prior experience at an AmLaw 100 or similarly sophisticated firm preferred.
- Soft Skills: Excellent legal drafting, deal execution, and client communication abilities, with a high level of attention to detail and the ability to manage multiple matters efficiently.
Key Responsibilities
- Advise borrowers and their investors on venture debt, growth capital, and similar financing structures across the startup and emerging growth ecosystem.

Draft, review, and negotiate loan agreements, collateral documents, closing deliverables, and related credit documents.
- Support deal execution across all stages of the transaction, from structuring through closing.
- Contribute to internal form development and implementation of AI-assisted tools to improve process efficiency and document automation.
- Collaborate with attorneys across the firm’s corporate, M&A, life sciences, and venture capital practices to deliver seamless, strategic client solutions.

Competitive Compensation: Annual base salary is expected to start at $390,000+, depending on experience, qualifications, and market factors.
